Terms & Conditions – zeluryx

These Terms & Conditions (the "Terms") govern the subscription-based web design, development, hosting and related services provided by zeluryx ("zeluryx", "we", "us", "our") to you as the customer (the "Client", "you", "your"). By subscribing to or using our services, you agree to be legally bound by these Terms.

1. Definitions

In these Terms, the following words have the meanings set out below:

  • "Agreement" means these Terms together with any plan selection, order form, invoice, or written confirmation issued by zeluryx.
  • "Business Day" means any day other than Friday, Saturday or public holidays in the UAE.
  • "Reasonable timeframe" means a maximum of five (5) Business Days unless a shorter period is explicitly specified.
  • "Service(s)" means the subscription-based website and related services provided by zeluryx according to the selected plan.
  • "Support Request" means a request for help submitted through our designated support channel (e.g., email, ticket system, WhatsApp Business, or portal).
  • "Out-of-scope Work" means any work not included in your plan, such as complete redesigns, custom software development, large-scale migrations, or third-party systems integration requiring deep custom coding.
  • "Third-Party Provider" means any external company or service used to deliver or enhance the Services (e.g., hosting platforms, payment gateways, analytics tools, messaging APIs, AI providers, etc.).
  • "Contract Term" means the initial 12-month period of your subscription, and any renewed 12-month term.
  • "Good Cause" means a serious, proven issue where zeluryx materially and repeatedly fails to provide core Services as described in this Agreement, despite written notice and an opportunity to remedy.

2. Scope of Services & SEO Policy

2.1 Core Services

zeluryx provides subscription-based Services which may include, depending on your selected plan:

  • Design and setup of a custom business website.
  • Website hosting, SSL certificates and technical configuration.
  • Payment integrations (e.g., card payments, COD, bank transfer, wallet providers where supported).
  • AI-powered chat and automation features, within plan limits.
  • Basic search engine optimization (SEO) and performance tuning.
  • Ongoing updates, maintenance and technical support.

2.2 Out-of-scope Work (Scope Creep Prevention)

Unless specifically included in writing, the following are generally considered Out-of-scope Work and may require additional fees:

  • Full visual redesign of the entire website after initial launch.
  • Complex custom web applications or dashboards beyond template-based solutions.
  • Deep integrations with ERPs, CRMs, or legacy systems requiring custom code.
  • Large-scale content creation (blogs, product descriptions, multi-language copywriting, etc.).
  • Custom mobile app development (iOS, Android) not included in your plan.
  • Advanced, ongoing performance marketing or ad campaign management.

Where work is considered Out-of-scope, zeluryx will provide a separate quotation and will only proceed upon your approval.

2.3 SEO Policy & No Performance Guarantee

Any SEO or performance-related work is carried out on a best-effort basis. Search rankings, traffic, sales, leads and similar metrics depend on factors outside zeluryx’s control, including competition, your industry, your pricing, and algorithms of search engines or platforms.

We do not guarantee: specific positions on Google or other search engines, specific traffic volumes, or financial results. We also do not use black-hat or deceptive SEO practices.

3. Customer Responsibilities

3.1 Content & Compliance

You are responsible for:

  • Providing accurate and lawful business information, text, images, videos and other content.
  • Ensuring your products and services comply with UAE law and any applicable regulations in other regions where you operate.
  • Obtaining necessary rights, licenses and permissions for all content you supply.

3.2 Approvals & Communication

You agree to respond to our questions, drafts, and approval requests within a reasonable timeframe (maximum 5 Business Days). Delays in feedback may delay project work and do not release you from payment obligations.

3.3 Security & Access

  • Keep all login details and passwords confidential and secure.
  • Notify us immediately if you suspect unauthorised access to your website or account.
  • Do not share admin access with third parties that may compromise the security or stability of the Service.

4. Contract Term, Renewal & Price Stability

4.1 Contract Term

The Contract Term for all zeluryx plans is 12 months, starting from the earlier of:

  • The date of your first invoice; or
  • The date your website is made available for use.

4.2 Price Stability During Term

The monthly price for your plan remains fixed and will not increase during the active 12-month term, except where an increase is required by changes in law, VAT or other government-mandated charges.

4.3 Renewal

At the end of the Contract Term, your subscription may be renewed for another 12-month term:

  • If renewed before the end of the current term with no outstanding debt:
    • Your current monthly price is locked for the next 12 months (price-freeze).
    • You receive early-renewal bonuses (see below).
  • If renewed after the current term has expired:
    • The new price is based on the then-current pricing published by zeluryx.

4.4 Early Renewal Bonuses

If you renew early, we commit to providing at minimum:

  • A one-time SEO analytics review and on-page SEO improvement suggestions or changes.
  • Creation of at least one (1) extra page (e.g., FAQ, Services split page, promo landing page).
  • Minor UX/design improvements chosen by us based on best practices and your plan level.

5. Fees, Late Payments, Refunds & No Hidden Fees

5.1 Subscription Fees

Subscription fees are payable monthly in advance in AED, via the payment methods we support (e.g. card, bank transfer, payment links, etc.). Taxes, if any, will be applied in line with applicable UAE law.

5.2 No Hidden Fees

All recurring fees, one-time fees, late fees and reactivation fees will be clearly communicated to you in advance. We do not intentionally charge undisclosed or hidden fees.

5.3 Late Payments & Penalties

If an invoice is not paid by the due date:

  • From day 1 to day 5 after the due date, a late fee of 100 AED is added per day.
  • After 5 days of non-payment, your service may be suspended.

To reactivate your service after suspension, you must pay:

  • All outstanding subscription amounts; and
  • Accumulated daily late fees (up to 5 days); and
  • A 450 AED reactivation fee.

Legal fairness cap: Late fees and reactivation fees will in no case exceed the lower of:

  • Twenty-five percent (25%) of the overdue invoice amount; or
  • Our actual, reasonable administrative and recovery costs related to the late payment.

This cap is intended to prevent excessive or exploitative penalties in line with UAE consumer protection principles.

5.4 Refund Policy

We offer a 10-day money-back guarantee starting from the beginning of your first Contract Term. If you cancel in this initial 10-day period, we will refund your subscription fee for that period.

After the first 10 days, all fees are non-refundable, including in cases of partial use, early cancellation, or non-usage of the Service.

5.5 Chargebacks

If you initiate a chargeback or payment dispute without first attempting to resolve the issue with us in writing:

  • We may immediately suspend or terminate your Service.
  • We may restrict future access to our Services until the dispute is resolved and funds are repaid.
  • We may seek reimbursement for any chargeback-related fees or damages we incur.

6. Cancellation, Good-Cause Exit & Termination

6.1 Cancellation by Client (Standard)

You may request to cancel your subscription at any time; however, cancelling before the end of the 12-month Contract Term does not automatically release you from payment obligations for the remaining months.

Standard Cancellation Fee:

Cancellation Fee = (12 − months already used) × monthly plan price

6.2 Good-Cause Cancellation by Client

If you believe zeluryx has materially failed to provide the core Services described in this Agreement, you may give us written notice of the problem. We will then have a reasonable timeframe (normally up to 30 days) to remedy the issue.

If, after this remedy period, we still materially fail to provide the agreed core Services and the failure is clearly our fault, you may cancel for Good Cause. In such Good-Cause cancellation:

  • You will only owe subscription fees up to the date of effective cancellation.
  • The Standard Cancellation Fee for remaining months will not apply.

6.3 Termination by zeluryx

We may suspend or terminate your Service if you:

  • Fail to pay invoices and fees within the allowed grace period.
  • Use the Service for illegal, abusive, or prohibited activities.
  • Repeatedly violate these Terms despite warnings.
  • Initiate fraudulent chargebacks or attempt to avoid legitimate payment obligations.

6.4 Client Protections Before Termination

Except in urgent cases involving illegality, security threats or serious abuse, we will use reasonable efforts to notify you and provide an opportunity to correct issues before permanent termination.

6.5 Effect of Termination or Cancellation

Upon termination or cancellation:

  • Outstanding invoices and lawful fees remain payable.
  • Your website may be taken offline and access to dashboards may be removed.
  • Once all lawful amounts are settled, we will, upon request, provide reasonable assistance in transferring your domain and content where technically feasible.

7. Domains, Ownership, Intellectual Property & Portfolio Use

7.1 Domains

If a domain is purchased or managed through zeluryx, it may be registered in your name or in our name for management convenience. If you have unpaid invoices, late fees or lawful cancellation fees, we may temporarily retain control of the domain until the outstanding amounts are settled.

7.2 Client Content Ownership

You retain ownership of all content, media, product data, branding, and materials you provide. We do not claim ownership of your original content.

7.3 zeluryx Intellectual Property

zeluryx retains all rights to its own tools, frameworks, designs, code, templates, AI flows, and underlying systems used to deliver your website. Unless a separate buy-out agreement is signed, these are licensed for your use as part of the subscription and are not sold to you.

7.4 Access on Exit (Continuity Assurance)

If your account is in good standing and all lawful fees are paid, we will use reasonable efforts to:

  • Assist you in transferring your domain to another provider if requested.
  • Export or provide access to your text, images, product data and other content where technically possible.
  • Provide reasonable notice if we ever permanently discontinue the Service, enabling you to migrate.

7.5 Portfolio Use & Opt-Out

Unless you opt out, you grant zeluryx the right to display your website name, logo, non-sensitive screenshots, and results as part of our portfolio, proposals and marketing.

Opt-out process: You may opt out at any time by emailing us or sending a written request through our official support channels. Upon confirmation, we will stop using your project in new marketing materials going forward (existing printed or historical materials may still exist).

8. Acceptable Use & Compliance

8.1 Prohibited Uses

You may not use the Services to:

  • Engage in illegal, fraudulent or deceptive activities.
  • Promote hate, violence, discrimination or extremist content.
  • Host or distribute malware, phishing pages or harmful code.
  • Violate privacy, intellectual property or other legal rights of others.
  • Distribute explicit adult content where prohibited by law or platform rules.

8.2 Legal Compliance

You are responsible for ensuring that your use of the Service complies with applicable UAE laws and any other jurisdiction in which you operate. You are also responsible for compliance with card schemes, payment providers, marketplaces and platform policies, where applicable.

9. Third-Party Services & AI Tools

9.1 Third-Party Services Disclaimer

zeluryx may rely on or integrate with Third-Party Providers (such as hosting platforms, payment gateways, email services, chat services, analytics tools, or website builders).

While we select reputable providers, we are not responsible for:

  • Outages, downtime or performance issues caused by third parties.
  • Price changes, policy changes or discontinued features of third-party services.
  • Data loss or security incidents solely caused by third parties.

9.2 AI Tools Disclaimer

Some features, such as AI-powered chatbots or content suggestions, rely on artificial intelligence models. These models may occasionally provide incorrect, incomplete or inappropriate responses.

  • You remain responsible for supervising and moderating the AI on your website.
  • You should not rely on AI responses as legal, financial or medical advice.
  • We are not liable for damage or loss arising solely from AI-generated outputs.

10. Support, Service Levels & Continuity

10.1 Support Channels & Hours

We provide support through the channels indicated in your plan (e.g. email, ticketing system, messaging). We aim to provide responsive and helpful support for active subscribers.

10.2 Response Time Targets (Non-Binding SLA)

Our typical target response times (not guaranteed but intended) are:

  • Critical outage (site completely down): first response within 4–8 business hours.
  • Major issue (checkout broken, core feature down): first response within 24 hours.
  • Normal request (minor bug, content update guidance): first response within 48 hours.

These are target service levels, not strict guarantees, but we will use reasonable efforts to meet them.

10.3 No Absolute Uptime Guarantee

We aim for high availability but do not guarantee 100% uptime. Short service interruptions may occur due to maintenance, third-party outages, or unforeseen technical issues.

10.4 Continuity of Service

If zeluryx decides to substantially change or discontinue the Services, we will use reasonable efforts to:

  • Give you advance notice in writing; and
  • Provide a reasonable window to export your content and migrate to another provider.

11. Data Protection, Privacy & Security

11.1 Data Handling

We process certain personal and business data in order to operate the Services. We will not sell your personal data to third parties.

11.2 Privacy Policy

Full details of how we collect, use, store and protect personal data are set out in our separate Privacy Policy, which forms part of this Agreement. By using the Services, you also agree to the Privacy Policy.

A link to the Privacy Policy will be published on your zeluryx website (e.g. /privacy) once finalised.

11.3 Data Security

We use reasonable technical and organisational measures to safeguard your data but cannot guarantee absolute security. You are responsible for maintaining secure passwords and access controls.

12. Limitation of Liability & Indemnity

12.1 Limitation of Liability

To the maximum extent permitted by UAE law, zeluryx will not be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, data, goodwill or business opportunities.

In any case, zeluryx’s total aggregate liability for claims related to the Services will not exceed the amount you paid for the Services in the one (1) month immediately preceding the event giving rise to the claim.

12.2 Indemnity

You agree to indemnify and hold harmless zeluryx, its owners, employees and partners from any claims, losses, damages or expenses (including reasonable legal fees) arising from:

  • Content or data you provide or publish through the Services.
  • Any breach of law or rights of others carried out via your website.
  • Your misuse of the Services or violation of these Terms.

13. Force Majeure

zeluryx will not be liable for delay or failure to perform its obligations caused by events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, strikes, internet or infrastructure failures, major power outages, or disruptions caused by Third-Party Providers.

15. Governing Law & Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the United Arab Emirates. Consumer protection and contract principles under applicable UAE law will apply.

15.2 Dispute Resolution

In case of any disagreement or dispute, both parties agree to first attempt to resolve the issue in good faith through written communication and reasonable negotiation.

If the dispute cannot be resolved amicably within a reasonable timeframe, either party may refer the matter to the competent courts of the UAE.

15.3 Language

These Terms may be translated into other languages for convenience. In case of any conflict between language versions, the English version will prevail, unless local law requires otherwise.
